These Terms of Use ("Terms") govern your access to and use of StackNSpire.com (the "Site") and the services offered by StackNSpire Digital LLC ("StackNSpire," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

The specific services we provide to clients (web development, maintenance, SEO, advertising, and related digital services, the "Services") are governed by a separate written agreement, proposal, or statement of work ("Client Agreement"). Where a Client Agreement conflicts with these Terms, the Client Agreement controls for that engagement.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements and that any information you provide is accurate.

2. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable law or regulation;
• Attempt to gain unauthorized access to the Site, our systems, or any data;
• Introduce viruses, malware, or other harmful code;
• Interfere with or disrupt the Site or the servers and networks connected to it;

3.2 Limited License to You

3.3 Work Product

Ownership of deliverables we create for clients (such as websites, designs, and code) is governed by the applicable Client Agreement. Unless that agreement states otherwise, ownership of final deliverables transfers to the client upon full payment, and we may retain rights to use general know-how, tools, and pre-existing materials.

3.4 Feedback

If you provide us with suggestions or feedback about the Site or Services, you grant us the right to use that feedback without restriction or obligation to you.

4. Services, Quotes, and Audits

Information on the Site about our Services — including pricing ranges, audits, and proposals — is provided for general informational purposes and does not constitute a binding offer. Any engagement for Services is subject to a separate Client Agreement. Free audits, assessments, or recommendations we provide are offered "as is," for informational purposes, and do not guarantee any particular result.

5. No Guarantee of Results

We strive to deliver high-quality work, but we do not guarantee specific outcomes from our Services, including but not limited to search engine rankings, traffic, leads, conversions, advertising performance, or revenue. Results depend on many factors outside our control, including market conditions, competition, third-party platforms, search engine and platform algorithms, and your own business operations.

6. Third-Party Services and Platforms

Our Site and Services may rely on or link to third-party platforms and services (such as hosting providers, Google, Meta, payment processors, and analytics tools). We do not control and are not responsible for third-party services, their availability, their terms, or any changes they make. Your use of third-party services may be subject to their own terms and policies.

7. Payment Terms

Payment terms for Services are set out in the applicable Client Agreement or invoice. Unless otherwise agreed, invoices are due upon receipt, and late payments may incur interest or fees as permitted by law and as stated in the Client Agreement. Third-party costs (such as advertising spend, hosting, domains, and software subscriptions) are typically your responsibility unless expressly stated otherwise.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STACKNSPIRE DIGITAL LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). LIABILITY ARISING FROM SERVICES IS GOVERNED BY THE APPLICABLE CLIENT AGREEMENT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless StackNSpire Digital LLC and its members, managers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in [County] County, Colorado, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any separate dispute-resolution terms in a Client Agreement, which control for the applicable engagement.

12. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site and updating the "Last updated" date. Changes are effective when posted. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

13. Severability and Waiver

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Client Agreement, constitute the entire agreement between you and StackNSpire Digital LLC regarding your use of the Site, and supersede any prior agreements on that subject.
